These Terms of Service (\u201c<strong data-start=\"481\" data-end=\"490\">Terms<\/strong>\u201d) govern your access to and use of Menulync\u2019s Point of Sale (POS) software, website, mobile applications, and related services (collectively, the \u201c<strong data-start=\"638\" data-end=\"650\">Services<\/strong>\u201d).<\/p>\n<p data-start=\"657\" data-end=\"861\">By creating an account, subscribing, or otherwise using our Services, you (\u201c<strong data-start=\"733\" data-end=\"745\">Customer<\/strong>,\u201d \u201c<strong data-start=\"749\" data-end=\"756\">you<\/strong>,\u201d or \u201c<strong data-start=\"763\" data-end=\"771\">your<\/strong>\u201d) agree to be bound by these Terms. If you do not agree, you must not use the Services.<\/p>\n<hr data-start=\"863\" data-end=\"866\">\n<h2 data-start=\"868\" data-end=\"887\">1. Definitions<\/h2>\n<ul data-start=\"888\" data-end=\"1336\">\n<li data-start=\"888\" data-end=\"993\">\n<p data-start=\"890\" data-end=\"993\"><strong data-start=\"890\" data-end=\"904\">\u201cServices\u201d<\/strong>: Menulync\u2019s restaurant POS software, mobile apps, integrations, and related offerings.<\/p>\n<\/li>\n<li data-start=\"994\" data-end=\"1126\">\n<p data-start=\"996\" data-end=\"1126\"><strong data-start=\"996\" data-end=\"1015\">\u201cCustomer Data\u201d<\/strong>: All information, menu items, transactions, and other data entered or processed through the Services by you.<\/p>\n<\/li>\n<li data-start=\"1127\" data-end=\"1240\">\n<p data-start=\"1129\" data-end=\"1240\"><strong data-start=\"1129\" data-end=\"1152\">\u201cSubscription Plan\u201d<\/strong>: The selected paid plan that governs your access to certain features of the Services.<\/p>\n<\/li>\n<li data-start=\"1241\" data-end=\"1336\">\n<p data-start=\"1243\" data-end=\"1336\"><strong data-start=\"1243\" data-end=\"1266\">\u201cPayment Processor\u201d<\/strong>: Third-party providers that process payments made through Menulync.<\/p>\n<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<h2 data-start=\"1343\" data-end=\"1362\">2. Eligibility<\/h2>\n<ul data-start=\"1363\" data-end=\"1620\">\n<li data-start=\"1363\" data-end=\"1467\">\n<p data-start=\"1365\" data-end=\"1467\">You must be at least 18 years old or the legal age of majority in your jurisdiction to use Menulync.<\/p>\n<\/li>\n<li data-start=\"1468\" data-end=\"1620\">\n<p data-start=\"1470\" data-end=\"1620\">By using Menulync, you represent that you are a restaurant, food service operator, or authorized agent with the authority to enter into these Terms.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"1622\" data-end=\"1625\">\n<h2 data-start=\"1627\" data-end=\"1660\">3. Accounts and Registration<\/h2>\n<ul data-start=\"1661\" data-end=\"1925\">\n<li data-start=\"1661\" data-end=\"1759\">\n<p data-start=\"1663\" data-end=\"1759\">To access the Services, you must create an account with accurate business and contact details.<\/p>\n<\/li>\n<li data-start=\"1760\" data-end=\"1859\">\n<p data-start=\"1762\" data-end=\"1859\">You are responsible for maintaining account security, including safeguarding login credentials.<\/p>\n<\/li>\n<li data-start=\"1860\" data-end=\"1925\">\n<p data-start=\"1862\" data-end=\"1925\">You are liable for all activity conducted under your account.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"1927\" data-end=\"1930\">\n<h2 data-start=\"1932\" data-end=\"1955\">4. Use of Services<\/h2>\n<p data-start=\"1956\" data-end=\"2061\">You may use Menulync\u2019s Services only for legitimate restaurant and business purposes. You agree not to:<\/p>\n<ul data-start=\"2062\" data-end=\"2296\">\n<li data-start=\"2062\" data-end=\"2138\">\n<p data-start=\"2064\" data-end=\"2138\">Use the Services for unlawful, fraudulent, or unauthorized transactions.<\/p>\n<\/li>\n<li data-start=\"2139\" data-end=\"2221\">\n<p data-start=\"2141\" data-end=\"2221\">Tamper with, disrupt, or misuse the software or hardware provided by Menulync.<\/p>\n<\/li>\n<li data-start=\"2222\" data-end=\"2296\">\n<p data-start=\"2224\" data-end=\"2296\">Circumvent any security or usage restrictions built into the Services.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"2298\" data-end=\"2301\">\n<h2 data-start=\"2303\" data-end=\"2324\">5. Customer Data<\/h2>\n<ul data-start=\"2325\" data-end=\"2655\">\n<li data-start=\"2325\" data-end=\"2406\">\n<p data-start=\"2327\" data-end=\"2406\">You retain ownership of all <strong data-start=\"2355\" data-end=\"2372\">Customer Data<\/strong> processed through the Services.<\/p>\n<\/li>\n<li data-start=\"2407\" data-end=\"2560\">\n<p data-start=\"2409\" data-end=\"2560\">By using the Services, you grant Menulync a non-exclusive license to host, process, and use Customer Data solely to provide and improve the Services.<\/p>\n<\/li>\n<li data-start=\"2561\" data-end=\"2655\">\n<p data-start=\"2563\" data-end=\"2655\">You are solely responsible for the accuracy, legality, and security of your Customer Data.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"2657\" data-end=\"2660\">\n<h2 data-start=\"2662\" data-end=\"2688\">6. Payment Processing<\/h2>\n<ul data-start=\"2689\" data-end=\"3004\">\n<li data-start=\"2689\" data-end=\"2788\">\n<p data-start=\"2691\" data-end=\"2788\">Menulync may integrate with third-party <strong data-start=\"2731\" data-end=\"2753\">Payment Processors<\/strong> to handle customer transactions.<\/p>\n<\/li>\n<li data-start=\"2789\" data-end=\"2893\">\n<p data-start=\"2791\" data-end=\"2893\">By using payment features, you agree to comply with the terms and policies of the Payment Processor.<\/p>\n<\/li>\n<li data-start=\"2894\" data-end=\"3004\">\n<p data-start=\"2896\" data-end=\"3004\">Menulync is not responsible for disputes, chargebacks, or delays caused by third-party Payment Processors.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"3006\" data-end=\"3009\">\n<h2 data-start=\"3011\" data-end=\"3048\">7. Subscription Fees and Billing<\/h2>\n<ul data-start=\"3049\" data-end=\"3457\">\n<li data-start=\"3049\" data-end=\"3118\">\n<p data-start=\"3051\" data-end=\"3118\">Access to certain features requires a paid <strong data-start=\"3094\" data-end=\"3115\">Subscription Plan<\/strong>.<\/p>\n<\/li>\n<li data-start=\"3119\" data-end=\"3230\">\n<p data-start=\"3121\" data-end=\"3230\">You authorize Menulync or its payment providers to charge your selected payment method for applicable fees.<\/p>\n<\/li>\n<li data-start=\"3231\" data-end=\"3385\">\n<p data-start=\"3233\" data-end=\"3385\">Subscription fees are billed in advance and are generally <strong data-start=\"3291\" data-end=\"3309\">non-refundable<\/strong>, except as required by law or explicitly stated in our <strong data-start=\"3365\" data-end=\"3382\">\u0633\u064a\u0627\u0633\u0629 \u0627\u0644\u0627\u0633\u062a\u0631\u062f\u0627\u062f<\/strong>.<\/p>\n<\/li>\n<li data-start=\"3386\" data-end=\"3457\">\n<p data-start=\"3388\" data-end=\"3457\">Failure to pay may result in suspension or termination of Services.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"3459\" data-end=\"3462\">\n<h2 data-start=\"3464\" data-end=\"3505\">8. Hardware and Third-Party Services<\/h2>\n<ul data-start=\"3506\" data-end=\"3773\">\n<li data-start=\"3506\" data-end=\"3644\">\n<p data-start=\"3508\" data-end=\"3644\">Menulync may recommend or provide compatible POS hardware. Any third-party hardware is governed by the vendor\u2019s warranty and policies.<\/p>\n<\/li>\n<li data-start=\"3645\" data-end=\"3773\">\n<p data-start=\"3647\" data-end=\"3773\">Menulync is not responsible for failures or issues related to third-party hardware, internet services, or payment providers.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"3775\" data-end=\"3778\">\n<h2 data-start=\"3780\" data-end=\"3809\">9. Intellectual Property<\/h2>\n<ul data-start=\"3810\" data-end=\"4058\">\n<li data-start=\"3810\" data-end=\"3956\">\n<p data-start=\"3812\" data-end=\"3956\">Menulync and its licensors own all rights, titles, and interests in the software, trademarks, logos, and content associated with the Services.<\/p>\n<\/li>\n<li data-start=\"3957\" data-end=\"4058\">\n<p data-start=\"3959\" data-end=\"4058\">You may not copy, modify, reverse engineer, or resell the Services without prior written consent.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"4060\" data-end=\"4063\">\n<h2 data-start=\"4065\" data-end=\"4100\">10. Termination and Suspension<\/h2>\n<ul data-start=\"4101\" data-end=\"4436\">\n<li data-start=\"4101\" data-end=\"4278\">\n<p data-start=\"4103\" data-end=\"4174\">Menulync may suspend or terminate your access to the Services if you:<\/p>\n<ul data-start=\"4177\" data-end=\"4278\">\n<li data-start=\"4177\" data-end=\"4198\">\n<p data-start=\"4179\" data-end=\"4198\">Fail to pay fees,<\/p>\n<\/li>\n<li data-start=\"4201\" data-end=\"4228\">\n<p data-start=\"4203\" data-end=\"4228\">Violate these Terms, or<\/p>\n<\/li>\n<li data-start=\"4231\" data-end=\"4278\">\n<p data-start=\"4233\" data-end=\"4278\">Engage in harmful or fraudulent activities.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li data-start=\"4279\" data-end=\"4436\">\n<p data-start=\"4281\" data-end=\"4436\">Upon termination, your right to use the Services ceases immediately, and we may delete your Customer Data in accordance with our data retention policies.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"4438\" data-end=\"4441\">\n<h2 data-start=\"4443\" data-end=\"4463\">11. Disclaimers<\/h2>\n<ul data-start=\"4464\" data-end=\"4744\">\n<li data-start=\"4464\" data-end=\"4537\">\n<p data-start=\"4466\" data-end=\"4537\">The Services are provided on an <strong data-start=\"4498\" data-end=\"4528\">\u201cAS IS\u201d and \u201cAS AVAILABLE\u201d<\/strong> basis.<\/p>\n<\/li>\n<li data-start=\"4538\" data-end=\"4624\">\n<p data-start=\"4540\" data-end=\"4624\">Menulync does not guarantee uninterrupted or error-free operation of the Services.<\/p>\n<\/li>\n<li data-start=\"4625\" data-end=\"4744\">\n<p data-start=\"4627\" data-end=\"4744\">Menulync is not responsible for losses resulting from technical issues, internet outages, or third-party providers.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"4746\" data-end=\"4749\">\n<h2 data-start=\"4751\" data-end=\"4783\">12. Limitation of Liability<\/h2>\n<p data-start=\"4784\" data-end=\"4825\">To the maximum extent permitted by law:<\/p>\n<ul data-start=\"4826\" data-end=\"5138\">\n<li data-start=\"4826\" data-end=\"4966\">\n<p data-start=\"4828\" data-end=\"4966\">Menulync shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost revenue, profits, or data.<\/p>\n<\/li>\n<li data-start=\"4967\" data-end=\"5138\">\n<p data-start=\"4969\" data-end=\"5138\">Menulync\u2019s total liability in any claim relating to the Services shall not exceed the total fees paid by you to Menulync in the twelve (12) months preceding the claim.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"5140\" data-end=\"5143\">\n<h2 data-start=\"5145\" data-end=\"5169\">13. Indemnification<\/h2>\n<p data-start=\"5170\" data-end=\"5314\">You agree to indemnify and hold harmless Menulync, its affiliates, employees, and partners from any claims, damages, or expenses arising from:<\/p>\n<ul data-start=\"5315\" data-end=\"5463\">\n<li data-start=\"5315\" data-end=\"5344\">\n<p data-start=\"5317\" data-end=\"5344\">Your use of the Services;<\/p>\n<\/li>\n<li data-start=\"5345\" data-end=\"5382\">\n<p data-start=\"5347\" data-end=\"5382\">Your violation of these Terms; or<\/p>\n<\/li>\n<li data-start=\"5383\" data-end=\"5463\">\n<p data-start=\"5385\" data-end=\"5463\">Any third-party claims related to your Customer Data or business operations.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"5465\" data-end=\"5468\">\n<h2 data-start=\"5470\" data-end=\"5515\">14. Governing Law and Dispute Resolution<\/h2>\n<ul data-start=\"5516\" data-end=\"5703\">\n<li data-start=\"5516\" data-end=\"5608\">\n<p data-start=\"5518\" data-end=\"5608\">These Terms shall be governed by and construed under the laws of KSA.<\/p>\n<\/li>\n<li data-start=\"5609\" data-end=\"5703\">\n<p data-start=\"5611\" data-end=\"5703\">Any disputes shall be resolved exclusively in the courts located in KSA.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"5705\" data-end=\"5708\">\n<h2 data-start=\"5710\" data-end=\"5735\">15. Changes to Terms<\/h2>\n<p data-start=\"5736\" data-end=\"5941\">We may update these Terms from time to time. Updated versions will be posted on this page with the new \u201cLast Updated\u201d date.
